1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant", "you", or "your") and Chargeback Defense Copilot ("we", "us", or "our"). By accessing or using our chargeback defense services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

• You must have a valid Shopify store in good standing
• You must provide accurate and complete registration information
• You must comply with all applicable laws and regulations

4. Service Description

Chargeback Defense Copilot provides automated chargeback management and defense services for Shopify merchants, including:

• Chargeback monitoring and alerts
• Automated evidence collection and submission
• Chargeback analytics and reporting
• Dispute management tools
• Integration with Shopify order data

Note: We provide tools to assist with chargeback defense, but we do not guarantee chargeback win rates or outcomes.

5. Account Registration

• You must create an account to use our Service
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access to your account
• We reserve the right to suspend or terminate accounts that violate these Terms

6. Subscription and Payment

6.1 Subscription Plans

• We offer various subscription plans with different features and limits
• Subscription fees are billed in advance on a monthly or annual basis
• Prices are subject to change with 30 days' notice

6.2 Payment Terms

• All payments are processed through secure third-party payment processors
• You authorize us to charge your chosen payment method for subscription fees
• Failed payments may result in service suspension
• All fees are non-refundable except as required by law

6.3 Free Trial

We may offer a free trial period. At the end of the trial period, you will be automatically charged unless you cancel before the trial ends.

7. Intellectual Property

7.1 Our Intellectual Property

All rights, title, and interest in the Service, including all software, trademarks, logos, and content, are owned by us or our licensors.

7.2 Your Intellectual Property

You retain all rights to your Merchant Data. You grant us a limited license to use your Merchant Data solely to provide the Service.

7.3 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.

• We collect and use data as described in our Privacy Policy
• You are responsible for complying with all data protection laws applicable to your business
• We implement reasonable security measures to protect your data
• You must obtain all necessary consents from your customers for data processing

9. Prohibited Activities

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service or servers
• Use the Service to submit fraudulent chargeback responses
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to harass, abuse, or harm others

10. Termination

10.1 By You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your billing cycle.

10.2 By Us

We may suspend or terminate your access to the Service if:

• You violate these Terms
• You fail to pay subscription fees
• We discontinue the Service
• Required by law or to protect our rights

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
• THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS
• CHARGEBACK OUTCOMES WILL BE FAVORABLE
• THE SERVICE WILL BE SECURE FROM UNAUTHORIZED ACCESS

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• CHARGEBACK LOSSES OR FINANCIAL LOSSES
• DAMAGES EXCEEDING THE AMOUNT PAID BY YOU IN THE LAST 12 MONTHS

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or losses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your Merchant Data or business practices

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any disputes shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

14.3 Class Action Waiver

You waive any right to participate in class actions or class arbitrations.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
